A deal is a sequence. We run every step of it.

Here is what happens, in order, when you sell, when you buy, and when you simply want an adviser in the room.

Selling a business

  1. 01ConsultationWe learn the business, your reasons and your timeline, and tell you honestly whether it is ready to sell.
  2. 02ValuationThree methods, normalised earnings, a written report you can share with your family, your CPA and your lender.
  3. 03PackageConfidential information memorandum, data room, financial story and marketing materials.
  4. 04Qualified buyersConfidential outreach to screened buyers with proof of funds and real motivation. NDAs before details.
  5. 05Offers and negotiationMultiple offers where possible. Price, terms, working capital, earn-outs and holdbacks negotiated together.
  6. 06Due diligenceWe run the data room and the buyer's questions so the deal keeps moving and surprises are managed, not discovered.
  7. 07Closing and transitionLawyers close. We plan the handover so the business keeps its customers and its staff.

Buying a business

  1. 01ThesisWhat to buy, why, at what size and price, and what you will do with it in year one.
  2. 02SearchListed and off-market targets, first contact, screening against the thesis.
  3. 03DiligenceCommercial, operational, financial and people diligence, coordinated with your CPA and lawyer.
  4. 04StructurePrice, vendor financing, earn-out, working capital peg, holdbacks, non-compete and transition terms.
  5. 05Close and integrateA 100-day plan with owners and milestones, so the business you bought is the business you run.

How an engagement is scoped and priced

Every engagement starts with a paid consultation or a free fit call, then a written scope. Valuations are a flat fee. Sell-side representation is a retainer plus a success fee tied to the transaction value. Advisory work on acquisitions, financing, plans and exits is quoted as a fixed project or a monthly retainer. Nothing is billed by the hour and nothing starts without a written agreement. See consultations and fees for the bands.

Who does what

We own the commercial, financial and operational workstreams: valuation, package, buyer search, negotiation, diligence coordination, integration planning. Your lawyer owns contracts and legal advice. Your CPA owns tax and assurance. A regulated immigration consultant or immigration lawyer owns any immigration matter. We coordinate the group so nothing falls between chairs.
